Terms of Use for B2B HVAC Dealer Platform

Welcome to our wholesale ordering platform for HVAC dealers and contractors. By accessing and using this platform, you agree to the following terms and conditions that govern your use of our services, tools, and content.

1. Eligibility

This platform is intended for licensed HVAC professionals, contractors, facility managers, resellers, and businesses in the climate control industry. Account registration requires submission of valid business documentation.

2. Account Registration and Use

  • Each business is allowed one primary account with optional sub-accounts for employees.
  • Account holders are responsible for maintaining confidentiality and authorized use.
  • Platform features, such as pricing and availability, are personalized to your account level.

3. Ownership and Intellectual Property

All software, design, algorithms, trademarks, and underlying technologies used in this platform are the exclusive property of the platform owner or its licensors. Access does not grant any ownership or license rights beyond those explicitly granted for use.

4. Restrictions

  • Modification of the platform’s source code, interface, or functionalities is strictly prohibited.
  • License or access credentials may not be transferred, shared, or resold to third parties.
  • Use of the platform in prohibited jurisdictions or for unlawful purposes is not allowed.

5. Quotes and Custom Pricing

Custom project quotes may be requested for large quantities, commercial applications, or special orders. Quote requests are subject to approval and may require additional verification or a formal purchase agreement.

6. Freight, Shipping & Logistics

  • Freight quotes are based on commercial delivery addresses and availability of loading docks.
  • Liftgate service, residential delivery, or call-ahead services may incur extra fees.
  • Customers are responsible for inspecting all deliveries for damage upon arrival.

7. Credit Terms and Invoicing

Qualified businesses may apply for Net 15/30 terms after placing a minimum number of prepaid orders. Credit approval requires submission of trade references and may include a personal guarantee.

8. Minimum Advertised Price (MAP) Policy

Dealers must adhere to MAP guidelines as established by manufacturers. Violations may result in account suspension or removal of dealer discounts.

9. Returns and Warranty Claims

  • All returns require a Return Authorization (RA) within 30 days of delivery.
  • Restocking fees may apply based on product condition and category.
  • Warranty claims must follow manufacturer processes and include all serial numbers and photos.

10. Technical Assistance and Documentation

We provide access to technical specifications, compatibility charts, and installation manuals. However, it is the responsibility of the dealer to verify system sizing and site-specific requirements.

11. Technical Support

Basic technical support is available during business hours for eligible account holders. Priority or advanced integration support may require a separate service agreement.

12. Data Privacy and Confidentiality

We may collect certain business and usage information to improve our services. All collected data is handled in accordance with our Privacy Policy. Users are responsible for maintaining the confidentiality of account credentials and customer data.

13. Platform Availability and Updates

We strive to maintain 24/7 availability, but reserve the right to perform maintenance or limit access without prior notice. Feature updates may alter interface or workflows without disrupting order history.

14. Limitation of Liability

We are not liable for indirect damages such as loss of income, installation errors, or shipment delays caused by third-party carriers. Total liability is limited to the amount paid for the affected order.

15. Grant of License

This application is licensed, not sold. By using this software or API, you are granted a limited, non-exclusive, non-transferable license to use it solely for your internal business purposes, in accordance with this agreement.

16. Use Restrictions

  • Modify, reverse engineer, decompile, or disassemble any part of the software or API.
  • Use the software in any unlawful or unauthorized manner.
  • Share, resell, or sublicense the software or API to third parties.

17. API Terms (if applicable)

  • Use it only in the manner described in the official documentation.
  • Avoid excessive or abusive requests that could degrade the performance of the service.
  • Comply with all applicable laws and regulations when handling data.

18. Ownership

All intellectual property rights in the software and APIs are owned by the developer. This agreement does not grant you ownership of any intellectual property.
